Job Description
Randstad is currently recruiting a General Counsel for a prominent manufacturing company based in North Las Vegas. In this role, you will navigate complex regulatory environments while providing actionable legal guidance that supports long-term commercial objectives. Serve as the primary legal architect and strategic advisor for the organization. The position is central to the company’s leadership team, with a core focus on balancing global compliance requirements with ambitious business growth initiatives. Compensation $185,000 - $230,000+, 20% bonus and great benefits Responsibilities: Serve as the primary legal strategist and advisor to the CEO and Board of Directors, providing actionable counsel on corporate governance, fiduciary duties, and high-stakes business decisions. Lead all legal aspects of corporate transactions, including M&A, and capital raises, ensuring seamless execution from due diligence through to final negotiation. Identify and mitigate legal, regulatory, and operational risks across the organization by developing proactive strategies that align with long-term business growth objectives. Draft and negotiate complex commercial contracts and corporate documents, translating intricate legal requirements into practical terms for internal and external stakeholders. Establish and maintain robust compliance frameworks to ensure adherence to federal, state, and industry-specific regulations while monitoring the legislative landscape for emerging risks. Direct and manage external legal partners and litigation efforts, ensuring high-quality representation while maintaining strict control over legal expenditures and budgets. Partner with Finance, HR, and Operations to provide proactive legal support, delivering training and guidance that empowers departments to execute initiatives within legal guardrails. Oversee the protection of the company’s intellectual property portfolio and manage the resolution of disputes and litigation to minimize financial and reputational exposure. Qualifications and Requirements: J.D. from an ABA-approved law school with active State Bar membership (NV or CA) 7+ years of experience within a Tier 1 law firm or a major in-house corporate legal department. Extensive experience supporting international supply chains, manufacturing, and distribution, with a deep command of international trade compliance, tariffs, and export controls. Expert in drafting and negotiating complex commercial and vendor agreements, balancing rigorous legal risk mitigation with the company’s commercial and growth objectives. Proven track record in M&A, and venture capital, including managing corporate governance and fiduciary duties for private equity-backed or institutionally-owned entities. In-depth knowledge of product liability, warranty law, and consumer protection regulations, ensuring enterprise-wide compliance and minimizing litigation exposure. A proactive advisor capable of explaining complex legal concepts to non-lawyers and mentoring teams under high-pressure, fast-paced environments. Demonstrated excellence in budget management and outside counsel cost control, underpinned by the highest ethical standards and sound decision-making in crisis situations.
