Job Description
Job Title : Counsel Location : Moorestown, NJ (on-site, full-time) Compensation : $120,000/yr plus bonus Employment Type : Direct Hire Summary: Our Client is seeking a versatile and highly skilled Corporate Counsel with a strong background in both complex commercial transactions and litigation. Reporting directly to the General Counsel, you will serve as a key legal advisor across all departments, including Commercial, Finance, and Environmental. You must be comfortable working with high autonomy, managing a diverse portfolio that ranges from PMPA franchise agreements and fuel supply logistics to representing the company in court. Key Responsibilities Contract Negotiation: Independently draft, review, and negotiate complex agreements, including PMPA Franchise Agreements, real estate transactions, technology/software licensing, and fuel supply/distribution contracts. Litigation Management: Manage all stages of litigation (trial and appellate), including research, pleadings, discovery, depositions, and appearances in court or at arbitrations. Corporate Governance: Prepare board minutes, resolutions, and intercompany agreements while maintaining effective corporate governance policies. Compliance & Risk: Advise senior leadership on critical legal risks, insurance coverage, and privacy/information security initiatives. Departmental Support: Act as a legal partner to Commercial, Maintenance, and Finance teams to ensure timely responses to contractual and regulatory requests. Qualifications Education: JD degree from an ABA-accredited law school. Experience: Minimum of five (5) years of combined experience as a litigator and in-house corporate counsel. Licensure: Active Bar admission in New York AND New Jersey is required. Must have the ability to waive into the Pennsylvania Bar within the first year of employment. Technical Skills: Deep knowledge of eDiscovery, intellectual property matters (cease and desist, subpoenas), and privacy compliance. Communication: Fluent in English with the ability to distill complex legal concepts for non-legal stakeholders. Software: Proficiency in Microsoft Office (Word, Excel, Outlook) and advanced legal research tools. Physical Requirements & Environment Ability to work in a professional office environment with a moderate noise level. Standard physical demands for an office role, including sitting, standing, and occasional lifting of up to 10 lbs.
