Position Overview The Manager / Senior Manager, Equity Administration is responsible for the end‑to‑end administration of the Company’s equity compensation programs and supporting the company’s overall compensation planning and execution, This role ensures accurate equity award administration, compliance with applicable tax and securities regulations, and strong cross‑functional coordination across Finance/Accounting, Legal, Payroll, and external vendors. The position plays a critical role in maintaining data integrity, strengthening internal controls, and supporting audit readiness in a public‑company environment. While the role includes hands‑on equity administration, it is also designed to be strategically oriented. The successful candidate will lead equity‑related initiatives, drive process improvements, support governance and audit activities, and help optimize the Company’s equity administration platform. Compensation support is included as part of the role, while equity administration remains the core focus. This role will work in a hybrid schedule with Monday through Thursday in office and Friday remote. Job Responsibilities Equity Administration, Governance, & Program Leadership Lead the end‑to‑end administration of the Company’s equity compensation programs across the U.S. & UK, including RSU, PSU, and RSA grants, vesting, releases, forfeitures, cancellations, and terminations. Oversee executive and director equity administration, including grant processing, vesting events, and coordination with Legal, brokers, and the transfer agent. Analyze performance‑based equity metrics, validate LTIP data, and support quarterly valuation, reporting, and dividend equivalent calculations with a focus on accuracy, completeness, and control discipline. Ensure the integrity of equity transactions, tax withholding, termination activity, and vendor data through strong reconciliation practices, documented controls, and proactive issue resolution. Serve as a primary point of contact for complex employee and executive equity inquiries, translating technical concepts into clear, practical guidance. Compliance, Controls & Audit Readiness Partner with Legal to support SEC‑related equity requirements, including Section 16 filings (Forms 3, 4, and 5). Support quarterly reviews and year‑end audits by preparing equity documentation, reconciliations, and reporting, while helping ensure audit readiness. Maintain and enhance internal controls, procedures, and documentation related to equity administration and reporting. Manage the Insider Trading List and Trading Window in accordance with Company policy. Partner closely with Payroll to ensure accurate equity‑related tax withholding and reporting. International Equity Administration (UK) Administer equity programs in the United Kingdom, ensuring compliance with local tax, reporting, and regulatory requirements. Coordinate required filings, reporting, and ongoing administration with internal stakeholders and external vendors. Support UK equity processes with a focus on risk management, compliance, and operational consistency. Platform Optimization, Partnership & Process Improvement Serve as the functional owner of the Company’s equity administration platform (e.g., Equity Edge), identifying opportunities to better leverage the system to improve reporting, controls, automation, and operational efficiency. Liaise with the Company’s transfer agent, brokers, and equity administration vendors to ensure accurate data flows and timely issue resolution. Partner cross‑functionally with Legal, Finance/Accounting, Payroll, HR, and executive stakeholders to support effective equity program execution.
