Securities Counsel

Overview A leading, publicly traded global organization is seeking a Securities Counsel to join its legal team. This role will support a wide range of securities, corporate governance, and disclosure matters in a complex, multinational environment. The position offers significant exposure to senior leadership in a fast moving, collaborative environment. Key Responsibilities Lead and manage SEC reporting and disclosure obligations, including preparation and review of Forms 10-K, 10-Q, 8-K, proxy statements, and other filings Advise on public company compliance, including NYSE/Nasdaq listing standards and evolving regulatory requirements Support corporate governance matters, including Board and committee materials, policies, and best practices Partner closely with finance and investor relations teams on earnings releases, investor presentations, and public disclosures Provide legal support for capital markets transactions, including debt and equity offerings Monitor and advise stakeholders on developments in securities laws, ESG disclosure trends, and corporate governance practices Assist with insider trading compliance, stock ownership guidelines, and related policies Collaborate cross-functionally with internal teams on strategic initiatives, M&A, and other corporate matters as needed Qualifications J.D. from an accredited law school and active bar membership Strong experience with SEC reporting and public company compliance Familiarity with corporate governance frameworks and Board support Experience supporting capital markets transactions preferred
